STANDARD TERMS & CONDITIONS

  1. All costs are strictly confidential and must be kept as such.

  2. The terms and conditions herein supersede all previous verbal and written communications once the contract has been signed.

  3. The CLIENT agrees to adhere strictly to the copy deadlines and provide advertising / copy / images requested by Unique Publishing House (UPH), in accordance with the full specifications to be provided by UPH.

  4. Cancellation policy: The CLIENT accepts that once it has signed and returned a contract, any subsequent cancellation up to 31 days before print will result in a charge equal to a minimum of 65% of the rate agreed, which the CLIENT shall immediately pay to UPH. Cancellation by the client 1 – 30 days before print will result in a 100% cancellation fee also payable immediately.

  5. All payments must be made strictly in accordance with the terms of the contract. All amounts agreed under the contract are exclusive of any country taxes or bank charges. The agreed amount must be received by UPH nett of all charges. All payments are due to UPH as per the order form signed by the CLIENT.

  6. This Contract shall be governed by English law. The language to be used in the arbitral proceedings shall be English.

  7. The person signing this contract represents and warrants that he/she is duly authorised and has legal capacity to execute and deliver this contract. If an advertising agency has signed this contract on behalf of a CLIENT the agency recognises and accepts they are solely responsible for the payment outlined on this contract.

  8. Payment will be due within 30 days from date of signed contract. In the event of late payment, UPH reserves the right to charge 8% interest on all invoices not paid on contractually determined payment due date specified on this contract, for every month payment is late.

  9. Force Majeure (being events outside the reasonable control) UPH shall not be liable for any delay in performance or non-performance of its obligations under the contract to the extent that the delay or nonperformance is due to Force Majeure. The CLIENT accepts that in the event of Force Majeure, no costs, fees or expenses will be refunded by UPH. UPH will as appropriate provide a credit note towards the next print of the publication that is mentioned on the contract.

  10. Editorial themes may change at any time without notice. Production schedules are subject to change.

  11. The terms and conditions printed herein, exclusive of any amendments hereto, encompasses the entire agreement of the parties, and supersedes all previous understandings and agreements between the parties, whether oral or written.

  12. If a CLIENT has contracted for part payments the CLIENT agrees in the event that any scheduled payment is late by more than 7-days the entire amount of the contract will become immediately due.

  13. UPH shall deliver copies of the printed material that form the basis of this agreement to the CLIENT.
